1. Introduction

These Terms and Conditions govern your use of the ACIS website, software products, POS systems, subscriptions, addons, demos, hosting services, and related services.

ACIS is operated by Modish Aura (Pvt) Ltd, Sri Lanka.

By accessing our website, purchasing a package, using a demo, subscribing to a service, or using ACIS software, you agree to these Terms and Conditions.

ACIS provides software and digital services including, but not limited to:

  • Customer and supplier management
  • Sales, purchase, and expense management
  • Reports and dashboards
  • Addons and integrations
  • Web applications
  • E-commerce solutions
  • Hosting and cloud-based software setup
  • Technical support and maintenance

4. Packages, Subscriptions, and Addons

ACIS may offer monthly, annual, lifetime, or one-time payment options depending on the package or addon.

Some packages may include a fixed number of users, branches, modules, or features. Additional users, branches, SMS credits, modules, addons, or custom features may require extra payment.

Package features, limits, pricing, and availability may change from time to time.

5. Initial Setup Fee

Some ACIS packages include an initial setup fee. This fee may cover activities such as:

  • Hosting or server environment setup
  • POS system installation
  • Basic configuration
  • Package activation
  • Database and system preparation
  • Initial account setup
  • Basic onboarding work

The initial setup fee is generally non-refundable once setup work has started or the system has been activated, because setup requires time, technical work, and allocated resources.

6. Payments

Payments may be accepted through online payment gateways such as WEBXPAY, bank transfer, or other approved methods.

The customer is responsible for ensuring that payment details are correct and that payments are made on time.

If a subscription payment is delayed, failed, reversed, or cancelled, ACIS may suspend, restrict, or terminate access to the service.

7. Subscription Renewal

Monthly and annual subscriptions may renew according to the selected billing cycle.

Customers are responsible for renewing their subscriptions on time. If payment is not received before or after the due date, the service may be suspended.

ACIS may provide a grace period at its discretion, but this is not guaranteed.

8. Customer Account and Login Security

Customers are responsible for:

  • Keeping login details confidential
  • Managing user accounts
  • Assigning correct roles and permissions
  • Preventing unauthorized access
  • Not sharing admin credentials with unauthorized persons
  • Informing ACIS immediately about security issues

ACIS is not responsible for losses caused by weak passwords, shared logins, unauthorized staff access, or customer-side misuse.

9. Customer Data

Customers own the business data entered into their ACIS POS system.

ACIS may manage the server-side environment, hosting, maintenance, updates, backups, and technical infrastructure. ACIS does not normally access customer POS dashboards unless temporary support access is provided by the customer or access is necessary for technical maintenance, security, or legal reasons.

Customers are responsible for ensuring that their own data entry, customer records, staff records, sales records, and business use comply with applicable laws.

10. Support Access

If technical support requires access to the customer’s POS system, the customer may provide a temporary support link, temporary login, or limited-time access.

The customer understands that support access may allow ACIS to view relevant parts of the system for troubleshooting. Support actions may be logged where the system supports such logs.

11. Acceptable Use

Customers must not use ACIS services to:

  • Conduct illegal activities
  • Upload harmful code, malware, or unauthorized scripts
  • Attempt to hack, overload, or damage the system
  • Violate another person’s privacy or rights
  • Store illegal, harmful, or unauthorized content
  • Resell services without permission
  • Abuse demo systems
  • Bypass license restrictions
  • Reverse engineer, copy, or redistribute ACIS software

ACIS may suspend or terminate services if misuse is detected.

12. Demo Systems

Demo systems are provided for testing, preview, and evaluation only.

Demo data may be reset, changed, deleted, or restricted at any time. Demo systems should not be used for real business transactions or storing sensitive real customer data.

13. Software Updates and Feature Changes

ACIS may update, improve, modify, remove, or replace features from time to time.

Some updates may be made for security, performance, compatibility, legal compliance, or product improvement.

Custom features may require separate quotation and approval.

14. Third-Party Services

ACIS may integrate with third-party services such as payment gateways, SMS providers, email providers, hosting providers, WhatsApp services, APIs, or other platforms.

ACIS is not responsible for downtime, pricing changes, restrictions, delays, errors, or policy changes caused by third-party providers.

15. Service Availability

We aim to provide reliable service, but we do not guarantee that the website, POS system, hosting, or software will always be uninterrupted, error-free, or available at all times.

Service interruptions may occur due to:

  • Maintenance
  • Server issues
  • Internet problems
  • Payment gateway issues
  • Third-party provider issues
  • Security incidents
  • Software updates
  • Force majeure events

16. Limitation of Liability

To the maximum extent permitted by law, ACIS and Modish Aura (Pvt) Ltd shall not be liable for indirect, incidental, special, or consequential losses, including:

  • Loss of profit
  • Loss of revenue
  • Loss of business opportunity
  • Loss of data caused by customer misuse
  • Business interruption
  • Third-party service failure
  • Unauthorized access caused by customer-side negligence

Our total liability, where legally applicable, shall not exceed the amount paid by the customer for the affected service during the relevant billing period.

17. Intellectual Property

All ACIS software, website content, designs, branding, source code, features, workflows, documentation, and related materials are owned by or licensed to ACIS / Modish Aura (Pvt) Ltd.

Customers are granted a limited right to use the software according to their active package or agreement. Customers do not receive ownership of the software source code unless separately agreed in writing.

18. Cancellation and Termination

Customers may request cancellation of a subscription by contacting ACIS.

ACIS may suspend or terminate services if:

  • Payment is overdue
  • The customer violates these Terms
  • The customer misuses the service
  • Illegal or harmful activity is detected
  • Continued service becomes commercially, legally, or technically impractical

After cancellation or termination, access to the system may be restricted or removed.

19. Electronic Communications

By using our services, you agree that communication may be made electronically, including through email, website forms, system notifications, invoices, and digital records.

Sri Lanka’s Electronic Transactions Act recognizes and facilitates electronic records, electronic communications, and electronic transactions in commercial contexts.

20. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Sri Lanka.

Any disputes shall be subject to the jurisdiction of the courts of Sri Lanka.

21. Changes to These Terms

ACIS may update these Terms and Conditions from time to time. Updated terms will be posted on this page with a revised “Last updated” date.

Continued use of our services after updates means you accept the updated Terms.
